The agreement
These terms govern the use of Route Desk CRM, delivery-management software provided by Digital Upscalers ("we", "us"). By signing in and using the software, the business holding the subscription and each member of its staff ("you") agree to them.
What the software is
Route Desk CRM helps a retailer record orders, plan delivery days, assign work to vans and drivers, sequence routes, and keep customers informed. It is provided as a hosted service and is accessed through a web browser using logins we issue.
Accounts and access
- Logins are issued to named members of your staff and must not be shared.
- You are responsible for what happens under your accounts, and for telling us promptly if you believe one has been misused.
- We may suspend an account that is being used to harm the service or other users.
- When someone leaves your business, tell us — or remove their login yourself — so their access ends.
Your data stays yours
The orders, customers, photographs and notes you put into the software belong to you. We claim no ownership of them. We hold them to run the service for you, as described in our Privacy Policy, and we do not sell them or use them for our own purposes.
You can ask for an export of your data at any time, including when you stop using the service.
What you undertake
- To use the software lawfully, and to have the right to hold the customer information you enter into it.
- Not to attempt to break into, overload, or reverse-engineer the service.
- Not to resell or redistribute the software itself. Your subscription covers your own business's use of it.
Connecting other services
Where you choose to connect Google Calendar, a mail account, a text-messaging account or your website, those services are run by other companies under their own terms. We are not responsible for their availability or for changes they make. You can disconnect any of them at any time.
Availability
We work to keep the service running and to keep it up to date, but it is provided on an "as is" basis without a guaranteed level of availability. Maintenance, hosting problems and outages at services we depend on can all interrupt it.
The software plans deliveries; it does not perform them. Routes, distances and estimated times are calculated from third-party mapping data and are guidance for your dispatcher, who remains responsible for the decisions made.
Liability
To the extent the law allows, we are not liable for indirect or consequential losses — lost profit, lost business, or losses arising from a delivery that did not go as planned. Nothing in these terms limits liability that cannot lawfully be limited.
Fees and cancellation
The service is provided on a subscription. Fees, billing period and notice are set out in the arrangement agreed with you. Either side may end the subscription with reasonable notice. On ending, we will provide an export of your data on request before it is removed from our systems.
Changes to these terms
We may update these terms. Material changes will be posted here with a new date, and we will tell subscribers directly. Continuing to use the service after a change means accepting it.
Governing law
These terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there.
